PREAMBLE "xBKNG" is a trading name of API Integrations Ltd., a company incorporated in Hungary, with its registered office located at 1123 Budapest, Gyori út 2c. This agreement is made between you and API Integrations Ltd. There is no minimum contract period, and either party may terminate the agreement by providing 14 days' written notice. You will receive login credentials that allow you to manage your prices, availability, terms and conditions, property descriptions, and facilities. You are solely responsible for keeping this information accurate, honest, and up to date. We will make reasonable efforts to ensure the system remains operational. A search form or booking button will be provided for integration into your website. This will link to your rates and availability, enabling your customers to make online bookings. Upon booking, confirmation emails will be sent both to your designated email and to your customer. You are obligated to honor bookings made through this system and must check your email regularly to manage such bookings. Bookings made via your website or entered manually are free from any commission or fees charged by us. The following agreement constitutes the full legal contract. Please read it thoroughly. Acceptance of these terms is required to use the system; otherwise, you must discontinue use. 1. THE SYSTEM 1.1 Both xBKNG and you agree that your respective Contract Managers will coordinate to establish a timeline and necessary procedures for launching the Platform and setting up the System. 1.2 Once the Platform is set up and the overall appearance of your Site's integration with the System is agreed upon, both parties shall ensure that the hyperlink from your Site to the System becomes active (the "go live date"). From this date, xBKNG is authorized to accept bookings on your behalf, using the information you provide (including room rates and availability) via the System. 1.3 xBKNG is responsible for hosting the System on its website and for maintaining both the Platform and the System from a technical standpoint. 1.4 You are solely accountable for the day-to-day operation of the System, including entering and updating details regarding your accommodation and services, using the Platform. 1.5 All intellectual property rights related to the Platform and System (excluding content supplied by you) remain the exclusive property of xBKNG. However, you are granted a non-exclusive license to use the Platform during the term of this Agreement, solely for the operation of the System. 1.6 xBKNG will ensure that all visitors using the System are presented with the relevant terms and conditions, which form an integral part of the Platform. 1.7 Each party shall ensure that their Contract Managers can efficiently manage updates and changes to the Platform or the System. 1.8 You bear full responsibility for addressing any inquiries or complaints related to the information you provide for the System, or to the accommodation or services you promote through it. 1.9 The terms and conditions under which you provide accommodation or services must be entered by you into the System and can be updated by you at any time. 1.10 All prices you provide on the System for accommodation or services must include VAT, if applicable. 1.11 If you cease trading, either temporarily or permanently, you must notify xBKNG immediately to prevent additional bookings from being made. 2. COMMISSION AND PAYMENT 2.1 To clarify, no commission or additional fees will be charged to visitors who book accommodation or other services through your Site. 2.2 Occasionally, xBKNG may offer optional links to external websites. You will have the opportunity to opt in or out, and any applicable commissions from these third-party sites will be clearly disclosed. 2.3 The pricing for xBKNG's services is available on our website. 2.4 If xBKNG's integrated card payment service is used, any fees incurred from the payment provider (Stripe) will be deducted from the balance due to you. Settlements are processed on a monthly basis. 3. TERMINATION 3.1 Either party may terminate this agreement by giving a minimum of 14 days' written notice. 3.2 Upon termination, xBKNG will revoke your access to the System. However, termination does not affect your responsibility to fulfill any bookings confirmed before the termination date. 3.3 Termination of the agreement will not affect: 3.3.1 Any rights or obligations that have accrued up to the termination date, including the right to seek damages; or 3.3.2 Any clauses within this agreement intended to survive termination, which shall remain fully effective. 4. WARRANTIES 4.1 You represent and warrant that: 4.1.1 Entering into this agreement and using the System does not violate any agreements to which you are bound; 4.1.2 All information you provide to xBKNG for the System (including descriptions, availability, pricing, terms and conditions, and cancellation policies) is accurate, complete, and regularly updated; 4.1.3 You own or have the right to use any intellectual property (including your trademarks) included in your content submitted to xBKNG; 4.1.4 You will honor all bookings confirmed through the System, provided they are based on information you supplied at the time of booking. 4.2 xBKNG warrants that: 4.2.1 Entering into this agreement does not violate any agreements it is a party to; 4.2.2 It owns or has the rights to use all intellectual property associated with the Platform, including any related trademarks. 4.3 While xBKNG aims to maintain constant public access to the System, it makes no guarantees of uninterrupted availability. Access may be occasionally suspended due to maintenance or unforeseen circumstances. 4.4 While xBKNG endeavors to ensure the System is secure and reliable, it does not guarantee the absence of errors, viruses, defects, or other harmful elements. Data loss may occur due to factors within or outside xBKNG's control. 5. THIRD-PARTY SITES 5.1 xBKNG will provide you with the details of any third-party websites to which the System may be linked, including any associated terms and conditions. 5.2 By agreeing to the inclusion of such links, you also agree to comply with any terms and conditions imposed by these third-party websites. If you do not accept these terms, xBKNG will remove the link to the respective third-party site upon your request. 6. VISITOR DATA Subject to legal restrictions, including those under applicable data protection laws such as the Data Protection Acts of 1984 and 1998, xBKNG agrees to share with you the visitor data necessary to fulfill any bookings made through the System. 7. INDEMNITIES You agree to indemnify and hold harmless xBKNG, any third-party website owner or operator, and their respective officers and employees, from any liabilities, damages, or costs arising from. 7.1 Your use of the System and the content you provide for it; 7.2 The delivery of accommodation or services promoted via the System; 7.3 Failure to honor any bookings confirmed through the System; 7.4 Any breach by you of the terms set forth in this agreement. 8. TRADEMARK LICENSE You grant xBKNG a non-exclusive, global, royalty-free license to use your trademarks on the System for the duration of this agreement. 9. CONFIDENTIALITY 9.1 Both during and for three years after termination of this agreement, the following obligations apply to any party receiving confidential information: 9.2 The Receiving Part: 9.2.1 May only use the confidential information to fulfill this agreement; 9.2.2 May not disclose confidential information without prior written consent from the Disclosing Party; 9.2.3 Must take all reasonable steps to prevent unauthorized disclosure. 9.3 These obligations do not apply to information that: 9.3.1 Was already in the Receiving Party’s possession or publicly available before receipt; 9.3.2 Becomes publicly available through no fault of the Receiving Party; 9.3.3 Is required by law to be disclosed; 9.3.4 Is received from a third party with no obligation of confidentiality. 9.4 Breach of this clause entitles the Disclosing Party to seek an injunction or other equitable relief, in addition to any damages or legal remedies. 9.5 These confidentiality obligations survive the termination or expiry of the agreement. 10. LIABILITY Notwithstanding any provisions in this agreement, xBKNG is not liable for any indirect or consequential loss you may suffer, even if such losses were foreseeable or you were advised of their possibility. 11. INTEREST Any overdue payments between the parties will accrue interest daily at 4% above the current base rate of Barclays Bank plc, with a minimum annual interest rate of 7%. 12. ASSIGNMENT 12.1 Neither party may assign or transfer their rights or obligations under this agreement without the other party’s written consent, which shall not be unreasonably withheld. 12.2 If you plan to sell your business, you must inform xBKNG as early as possible, ideally 30 days before completion, since a new agreement will be required with the incoming owner. 12.3 xBKNG may transfer or assign its rights and obligations without your consent to an affiliate or a company that merges with or acquires xBKNG, provided such party agrees in writing to uphold this agreement. 13. FORCE MAJEURE 13.1 Neither party is liable for failure to meet obligations due to unforeseen events beyond their control (“force majeure”) 13.2 The affected party must notify the other as soon as possible about the nature and extent of the event. 14. WAIVER 14.1 A waiver is only effective if in writing and signed by the waiving party. 14.2 Delay or failure to exercise a right does not constitute a waiver. 14.3 No breach is waived unless expressly stated in writing by both parties. 15. NOTICES 15.1 All communications must be in writing and sent via email. Notices to xBKNG should be sent to support@xbkng.com and are considered delivered upon dispatch, provided no delivery error is received. 15.2 Either party may update their contact details for notices by informing the other party. The change becomes effective either: 15.2.1 On the date specified in the notice; or 15.2.2 Five business days after the notice if no date is specified. 16. ENTIRE AGREEMENT 16.1 This agreement constitutes the entire understanding between the parties and supersedes all prior agreements, written or oral. 16.2 Modifications to this agreement must be made in writing and signed by both parties. 17. GOVERNING LAW AND JURISDICTION 17.1 This agreement is governed by the laws of Hungary. 17.2 Both parties submit to the exclusive jurisdiction of the Budapest courts for all disputes. 18 Definitions In these terms and conditions: 18.1 'Agreement' means the agreement between xBKNG and you set out in the these terms and conditions and which also incorporates the information supplied on the Registration Form; 18.2 'business day' means a day (excluding Saturdays) on which banks are generally open in the City of London for the transaction of normal business; 18.3 'Commissions' means the commissions payable to xBKNG or any relevant Third Party in accordance with clause 2; 18.4 'confidential information' means all business, technical, financial or other information created or exchanged between the parties pursuant to the Agreement; 18.5 'the Contract Managers' means in your case the person identified on the Registration Form (or such other person as you may from time to time designate) and in xBKNG's case such person as it may from time to time designate; 18.6 'intellectual property rights' means patents, rights in design, trade marks, trading, business or domain names and e-mail addresses, copyrights (including any such rights in typographical arrangements, websites or software) whether registered or not and any applications to register or rights to apply for registration of any of the foregoing, rights in inventions, know-how, trade secrets and other confidential information, rights in databases and all other intellectual property rights of a similar or corresponding character that subsist now or in the future in any part of the world; 18.7 'xBKNG' means API Integrations Ltd. registered in Hungary, whose registered office is at 1123 Budapest, Gyori út 2c trading as xBKNG 18.8 'Our Site' means any website owned and/or operated by xBKNG 18.9 'Platform' means xBKNG's server, software, interfaces and documentation which allows proprietors of businesses providing accommodation and other related services to create and operate the System; 18.10 'Registration Form' means the registration form completed by you when registering to use the System; 18.11 'the System' means the room booking management system to be operated by you using the Platform on the world wide web; 18.12 'Third Party Sites' means any website owned and/or operated by a Third Party and linked to the System; 18.13 'Third Party' means any third party owning or operating a Third Party Site 18.14 'VAT' means value added tax or any similar sales tax replacing the same. 18.15 'visitor' means any person accessing the System to book accommodation and/or other services to be provided by you; 18.16 'visitor information' means the names, e-mail addresses, contact details and other information collected from visitors by the System; 18.17 'you' means the accommodation and/or other service provider detailed on the Registration Form and 'your' shall be construed accordingly; 18.18 'Your Site' means the website or combination of websites owned and/or operated by you which shall be linked to the System; 18.19 'Your Trade Marks' means the trade marks, names and logos (if any) owned or licenced to you. 19 Interpretation In the Agreement unless otherwise specified: 19.1 reference to a party is reference to a party to the Agreement and includes his permitted assignees and successors in title to substantially the whole of his undertaking; 19.2 reference to a person includes any person, individual, company, firm, corporation, government, state or agency of a state, or any undertaking whether or not having separate legal personality and irrespective of the jurisdiction in or under the law of which it was incorporated or exists; 19.3 words denoting the singular shall include the plural and vice versa and words denoting any gender shall include all genders; and 19.4 'includes' and 'including' shall mean including without limitation.
